Our Services

Corporate Governance Readiness

Proactive governance preparation for pre-public companies. Stay clean, current, and listing-ready — so when you decide to go public, governance is not the bottleneck.

Who This Is For

Target Markets

We serve non-listed companies in Canada and the United States that intend to pursue public listing or reporting issuer status.

Canada

Non-listed companies intending to become reporting issuers or filers under Canadian securities regulations. We ensure your governance is aligned with applicable provincial and federal requirements before you take that step.

United States

Non-listed companies intending to go public, become a reporting issuer, or become a filer under U.S. securities law. We prepare your governance framework so you are ready when the decision is made.

How It Works

Four Stages to Governance Readiness

A structured process that takes your company from wherever it is today to fully compliant, listing-ready governance — then hands you the tools to maintain it independently.

1
Assessment

A comprehensive review of the company's Articles of Association and applicable laws for their jurisdiction. We evaluate whether the company's business conduct and historical decisions align with their Articles and regulatory requirements. Gaps are identified and a remediation plan is produced.

2
Cleanup

Systematic remediation of all identified gaps — minute book cleanup and reconstruction, ensuring all resolutions are complete and properly executed in accordance with the Articles, share management remediation including cap table, share issuances, transfers, and share register, and full alignment of company documents with applicable laws.

3
Maintenance

Ongoing governance management throughout the contract period. All company documents kept current, resolutions properly maintained, share register up to date, and continued compliance with Articles and applicable laws.

4
Handover to EntityDesk

The client transitions to self-managing their governance on EntityDesk — an enterprise entity and compliance management platform. During the contract period the client is trained on EntityDesk so the handover is seamless.

Transparent Pricing

Pricing & Value

Full transparency on what you pay and what you get — a deliberate differentiator in a space where most competitors do not publish rates.
